These Terms of Service ("Terms") govern your use of the ProShop 247 website and AI voice agent platform operated by ProShop 247 ("we," "us," or "our"). By using our services, you agree to these Terms.

1. Services

ProShop 247 provides an AI-powered voice agent platform for golf courses. Our services include automated phone answering, tee time booking, customer interaction, and related features. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time.

2. Eligibility

You must be at least 18 years old and authorized to act on behalf of your golf course or business to use our services. By creating an account or submitting a demo request, you represent that you have the authority to bind your organization to these Terms.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription & Pricing

• Subscriptions are billed monthly at the rate agreed upon during sign-up
• Founding Member pricing is locked for the lifetime of continuous subscription
• Setup fees, if applicable, are one-time charges billed at onboarding
• We reserve the right to change pricing for new subscribers with 30 days notice

5. Free Demo & Money-Back Guarantee

We offer a free demo build for qualifying golf courses at no obligation. Paid subscribers are covered by our 30-day money-back guarantee — if you're not satisfied within the first 30 days, we'll refund your subscription fee in full. Setup fees are non-refundable after the demo is built.

6. AI Voice Agent Disclaimer

Our AI voice agent is designed to handle routine golf course inquiries and bookings accurately. However:

• The AI may occasionally provide incorrect or incomplete information
• We are not liable for booking errors, miscommunications, or missed revenue resulting from AI interactions
• Our 4-Hour Fix Guarantee covers knowledge base errors — we will correct verified errors within 4 business hours or credit your account $50
• You are responsible for keeping your course information (hours, rates, policies) up to date in the system

7. Your Data

You retain ownership of all data you provide to us (course information, customer data, call records). We use this data solely to provide and improve our services as described in our Privacy Policy. Upon termination, you may request export of your data within 30 days.

8. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Attempt to reverse-engineer, decompile, or extract our AI models or proprietary technology
• Interfere with or disrupt the service or servers
• Resell or redistribute the service without written consent
• Use the AI agent to make deceptive or misleading claims to callers

9. Intellectual Property

The ProShop 247 platform, CourseIQ Engine, and all related technology, branding, and content are our proprietary property. Your subscription grants you a limited, non-exclusive, non-transferable license to use the service for your golf course operations.

10. Limitation of Liability

To the maximum extent permitted by law, ProShop 247's total liability for any claims arising from your use of the service shall not exceed the total fees paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

11. Termination

Either party may terminate the subscription with 30 days written notice. We may immediately terminate your access if you violate these Terms. Upon termination, your AI agent will be deactivated and calls will no longer be answered by our system.

12. Governing Law

These Terms are governed by the laws of the State of Utah. Any disputes shall be resolved in the courts of Washington County, Utah.

13. Changes to Terms

We may update these Terms from time to time. We will notify active subscribers of material changes via email at least 30 days before they take effect. Continued use of the service after changes constitutes acceptance.
